Director/PDMR Shareholdings and Exercise of Options

S&U plc announces that it has today received due notice from Mr Anthony Coombs, Chairman of S&U, of the exercise in respect of options granted under the Company's 2010 Long Term Incentive Plan ("LTIP") totalling 20,000 ordinary shares of 12.5p each ("Ordinary Shares") at the exercise price of 12.5p per share.

These Ordinary Shares (the "Option Shares") have been issued and allotted by the Company and rank pari passu with the Company's existing issued Ordinary Shares. The Option Shares were admitted to trading on 6 January 2015 pursuant to an existing block listing granted to the Company by London Stock Exchange plc.

Following the issue of these Ordinary Shares, the total number of voting rights in S&U is 11,875,425, which number should be used by shareholders and other parties subject to disclosure obligations as the denominator for the calculations by which they determine if they are required to notify their interest in or a change to their interest in the share capital of S&U under the FCA's Disclosure and Transparency rules.

At the same time as the option exercise notice detailed above, S&U have also received notice that Mr Anthony Coombs has sold 20,000 Ordinary Shares at a price of 1960p per Ordinary Share. Following these transactions, the beneficial shareholding of Anthony Coombs is unchanged at 1,334,027 Ordinary Shares representing 11.2% of the total voting rights of the Company.

In addition to the above holdings, Grevayne Properties Limited, a Company beneficially controlled by Anthony Coombs and Graham Coombs, hold 298,048 Ordinary Shares representing 2.5% of the total voting rights of the Company.
