Result of General Meeting

Sutton Harbour Group plc (AIM: SUH) is pleased to announce that the Resolutions proposed at the General Meeting held earlier today were duly passed by Sutton Harbour Shareholders.

Application has been made to the London Stock Exchange for the admission of 14,000,000 new ordinary shares in the capital of the Company to trading on AIM, which is expected to become effective at 8:00 a.m. on 3 August 2021 ("Admission").

Following Admission the total number of ordinary shares in the capital of the Company with voting rights will be 129,944,071 and Sutton Harbour Shareholders may use this figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the FCA's Disclosure Guidance and Transparency Rules.

Philip Beinhaker, Executive Chairman of Sutton Harbour Group commented the following on the results of the General Meeting and the Open Offer:

"The board is delighted to see the support for the Open Offer from a broad range of shareholders including a large number of minority shareholders, some of which have requested allocation in excess of their basic entitlement. We appreciate the positive reaction to the call to raise new equity capital which will assist the Company to continue with its programme to bring a number of property development projects to fruition and the confidence this shows in the Group's strategic plan".
