NOTIFICATION OF DIRECTOR/PDMR SHAREHOLDING
The Company announces the release of conditional share awards granted on 11 April 2008 under the Company's 2005 Long Term Incentive Plan to two of its Executive Directors and five Persons Discharging Managerial Responsibilities ("PDMRs").
The Company achieved average annual ROCE growth of 12.1% over the three year performance period. The TSR element of the award was not triggered. Therefore, in accordance with the rules of the LTIP, 7% of the shares subject to the award have been released.
Several of the participants opted to sell part of their shares to the STV Employee Benefit Trust ("EBT") details of which are set out below ("Sale Shares"). The Sale Shares were sold at a price of 110.5p per ordinary share of 50p each, being the closing price on Thursday 25 August 2011. The Sale Shares were disposed of to cover tax and national insurance liabilities.
Accordingly, the Executive Directors and PDMRs listed below have become the legal and beneficial owners of the following ordinary shares of 50p each in the Company.
