Staffline Recruitment Group plc13 April 2005 Staffline Recruitment Group plc ("the Company") Transaction in shares by director On 12 April 2005 funds managed by ISIS Equity Partners plc, the UK privateequity arm of F&C Asset Management plc, transferred 218,619 ordinary shares of10p each in the issued share capital of the Company to Andrew John Hogarth. Thetransfer has been made in full and final settlement of Andrew John Hogarth'sentitlement under an option agreement entered into dated 1 December 2004 in lieuof certain payments due to him under the Staffline Executive Bonus Scheme,details of which were set out in the Company's admission document to theAlternative Investment Market of the London Stock Exchange dated 1 December2004. Following the transfer Andrew John Hogarth will hold 3,068,629 ordinary sharesin the Company representing 14.7% of the issued share capital.
