Notice to Shareholders of Serica Energy PLC in Canada

Serica is required to deliver proxy materials to its registered shareholders and to intermediaries for delivery to those beneficial owners who have requested materials for annual meetings. On May 31, 2011, Serica mailed all required materials in respect of the 2011 Annual General Meeting (the "Meeting Materials") scheduled to be held on June 30, 2011 at 10:00 a.m. (British Summer Time) at The Registry, Royal Mint Court, London EC3N 4QN, United Kingdom(the "Meeting") to its registered shareholders and to intermediaries for delivery to those beneficial owners who have requested materials for annual meetings.

Due to the strike by the Canadian Union of Postal Workers which commenced on June 2, 2011 it is possible that the Meeting Materials have not been delivered.

The Meeting Materials are available (i) on-line on Serica's SEDAR profile at: www.sedar.com, and on Serica's website at: www.serica-energy.com; or (ii) by fax or e-mail by calling: +44 (0) 20 7487 7300. Please refer to the Notice of Meeting and other Meeting Materials filed on Serica's SEDAR profile at: www.sedar.com for details of the matters to be voted on by shareholders at the Meeting.

Registered shareholders (being those with physical share certificates) can either fax an executed proxy to Equity Financial Trust Company at 416 595 9593 or email the name and address of the shareholder to investor@equityfinancialtrust.com requesting a control number. Using the control number provided, the proxy can be filed online at www.voteproxyonline.com. Fax cover sheets should include contact information for the shareholder.

Beneficial shareholders (being those who hold their shares in a broker account) MUST contact their broker for instructions.
