LISTING APPLICATION

Spirax-Sarco Engineering PLC (the "Company")

Application has been made for the listing of 100,000 ordinary shares of 2612/13p each fully paid ("shares") to the UK Listing Authority and for trading of the shares with the London Stock Exchange. It is expected that admission will be granted on 22nd July 2015, and that dealings will commence on the same day. These shares are issued as a result of a blocklisting for Employee Share Option Schemes (83,049 shares) and an additional listing for the Employee Share Ownership Plan dividend reinvestment (16,951 shares). When issued, these shares will rank pari passu with the existing ordinary shares. The 16,951 shares include those already announced earlier today notifying Directors/PDMRs interests in shares that relate to the Company's Employee Share Ownership Plan.
