Notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them (in accordance with the Market Abuse Regulations)
St. Modwen Properties PLC announces the following transactions:
1. Exercise of 2016 Performance Share Plan ("PSP") Award
On 17 May 2019 Rob Hudson exercised the nil-cost 2016 PSP Award. The awards vested at 50% and became capable of exercise on 22 February 2019 following the achievement of the performance conditions measured over a three year period which ended on 30 November 2018. In accordance with the rules of the PSP, the director received an additional number of shares equal to the dividends paid between the date of grant and the date of exercise on the number of shares which vested.

2. Purchase of shares
The Company advises that it has recently been brought to its attention that there is a historic dividend reinvestment instruction on Rob Hudson's dealing account. As a result, historic transactions relating to a small number of shares by the relevant director have not been notified as required by the Market Abuse Regulations. The notifications are therefore now being made - this relates to 1,858 shares purchased in aggregate by Rob Hudson as a result of reinvestments of Company dividends.
The notifications set out below relating to the above transactions are provided in accordance with the requirements of the EU Market Abuse Regulation.
