DIRECTOR & Senior Manager SHARE PURCHASE

Seeing Machines Limited (AIM:SEE), a leading developer of facial image processing software for applications that rely on understanding the movement of human faces and eyes announces that it has today issued 4,730,333 new fully paid ordinary shares ("New Ordinary Shares") to certain Directors and senior managers under the July 2010 Executive Share Plan which was approved at the Annual General Meeting in November 2010. All shares issued under the plan are based on a salary/fee sacrifice arrangement.

Under the plan the Directors' received shares as follows:

1. William Mobbs holds shares in the name of William Mobbs ATF The Bilbo Super Fund

2. Rob Sale's shares are 2,745,715 shares held in the name of Caffe Pty Ltd ATF the R C Sale Superannuation Fund, 2,621,369 shares held by Robert's wife Paula Kay Sale and 390,386 shares held in his own name.

3. David Gaul holds 2,155,779 shares through his company Jaiclimb Pty Limited.

Under the Plan the following senior managers received shares as follows:

4.Nick Cerneaz holds 1,678,006 shares through Cenika Pty Ltd ATF Cenika Super Fund and 581,712 shares in his own name.

5. Belinda Burgess holds 965,870 shares in her own name and 1,851,410 shares in the names Belinda Burgess and Jennifer Kruse as trustees for the Meg & Susie Super Fund.

Application has been made for the New Ordinary Shares to be admitted to trading on AIM. It is expected that admission will occur and that dealings will commence at 8.00 a.m. on 30 November 2011. Immediately following admission of the New Ordinary Shares, the Company will have 413,638,879 fully paid ordinary shares on issue.
