Closure of Corporate Nominee Facility (including the Porta Bare Trust)

SEC Newgate (AIM: SECN), the insight-driven global strategic communications group that works at the nexus of business, politics, communities, markets and media, announces that, in accordance with the Corporate Nominee Facility Terms and Conditions, and the scheme document dated 5 July 2019, which contained the full terms and conditions of the Scheme of Arrangement, the Corporate Nominee Facility (including the Porta Bare Trust) ("CNF") will close on 3 September 2021.

The CNF was established in September 2019, following the merger between SEC S.p.A. and Porta Communications Plc ("Porta"), to enable Porta shareholders, who so elected, to hold their SEC Newgate certificates of depositary interests ("CDIs") through a nominee facility. The CNF was established for a period of two years and is administered by Equiniti Financial Services Limited ("Equiniti").

Porta shareholders who did not respond with an election under the Scheme of Arrangement were defaulted into the Porta Bare Trust, with CDIs held by Equiniti as Corporate Nominee for Porta as Representative.

Equiniti has written to participants in the CNF (including those in the Porta Bare Trust) setting out the options available, being:

1. Transfer their shares to another provider who is capable of holding CREST Depository Interests (CDIs) on their behalf.

2. Sell their shares through the Equiniti Postal Share Dealing Service (normal charges apply).

3. If none of the above is selected, any remaining shares will be sold in accordance with Section 13.3 of the Corporate Nominee Facility Terms and Conditions and the net proceeds of any sale (converted to Sterling if required and after applicable dealing deductions), remitted to the participant by way of cheque drawn on a branch of a UK clearing bank.

Any election for Option 1 or 2 must be received by Equiniti by 20 August 2021 or Option 3 will be applied.

If a participant wishes to elect for Option 1 or 2, they should email CSNTransfers@equiniti.com quoting their Shareholder Reference and the relevant documentation (including the Equiniti Postal Share Dealing Service Terms and Conditions) will be issued to them.
