SDL PLC ("the Company") was advised that:

· David Clayton, Executive Chairman of the Company, purchased 73,950 ordinary shares at a price of 402.37p per share on 6 November 2015.

As a result of this transaction David Clayton's beneficial holdings in the Company are 113,950 shares representing 0.14% of the Company's issued share capital.

· Chris Batterham, Non Executive Director of the Company, purchased 13,105 ordinary shares at a price of 407.74p per share on 10 November 2015.

As a result of this transaction Chris Batterham's beneficial holdings in the Company are 100,000 shares representing 0.12% of the Company's issued share capital.
