Directorate Appointments

This announcement contains inside information for the purposes of Article 7 of the Market Abuse Regulation (EU) No. 596/2014.

Scholium Group plc is delighted to announce that Bernard Shapero and Philip Tansey are being appointed to the Board of the Company as Chief Executive Officer and Chief Financial Officer, respectively, with effect from 1 March 2022.

Mr Shapero (aged 58), the founder and managing director of Shapero Rare Books Limited, has four decades of experience in the rare book and wider art market, having built Shapero Rare Books into one of the world's leading rare book dealers over that time.

With an executive career of over 30 years, Mr Tansey (aged 63) has a wealth of experience which enables him to provide expertise and knowledge as the part-time Chief Financial Officer of Scholium. He is a chartered accountant, whose previous roles included the appointments of Chief Financial Officer of both WH Ireland and Panmure Gordon.

Chairman David Harland comments: "I welcome both Philip and Bernard to the board and am looking forward to working with the two of them to take Scholium Group forward to an exciting future. The Board also thank Peter Floyd for his service to the group over the past five years. As previously announced, he will be retiring in early April, after helping with his hand over. We all wish him well for the future."

Further regulatory disclosures

Other than as disclosed below, there are no further disclosures to be made in accordance with AIM Rule 17 and paragraph (g) of Schedule Two of the AIM Rules for Companies:

Bernard Shapero

Mr Shapero was a director of Stocklight Limited, which was put into administration on 18 October 2011 prior to being dissolved with net liabilities to creditors of approximately £2.3 million on 22 November 2012, following the compulsory striking off earlier that year of the following subsidiary companies of which Mr Shapero was a director:

· Bernard J. Shapero Limited

· EL 2011 Limited

· Shapero Galleries Limited

· Countrywide Editions Limited

· Alimset Limited

Mr Shapero was also a director of Bibliopole Limited, prior to its compulsory striking off on 23 April 2019, and of Lightning Ensemble Limited, prior to its compulsory striking off on 28 July 2002.

Mr Shapero is currently a director of Shapero Rare Books Limited.

Mr Shapero is interested in 424,735 ordinary shares in the Company, representing approximately 3.1% of its issued share capital.

Philip Tansey

Mr Tansey was a director of Alfresco Leisure Publications Plc ("Alfresco") and its subsidiaries, Premier Guides Limited ("Premier Guides") and Telfo Limited ("Telfo"), all of which were placed into administration in 1992. Alfresco Leisure Publications and Premier Guides were dissolved on 16 November 1999 and Telfo was dissolved on 7 December 1993. The administrators of Premier Guides showed a deficiency of £0.6 million (excluding amounts owed to Alfresco) as regards to unsecured creditors. The administrators of Telfo showed a deficiency to creditors of £0.7 million. Refer to the table below for full disclosures of Mr Tansey's current and past company directorships within the five year disclosure period.

Mr Tansey currently holds no beneficial interest in the ordinary share capital of the Company.
