Portfolio Company Update: Immunocore IPO

Immunocore Prices Upsized $258.3 Million IPO

RTW Venture Fund Limited (the "Company"), the London Stock Exchange-listed investment company focused on identifying transformative assets with high growth potential across the life sciences sector, is pleased to note the announcement by its portfolio company Immunocore, Inc. ("Immunocore") on 05 February 2021 of its pricing of an upsized $258.3 million initial public offering ("IPO") and admission to trade on Nasdaq Global Market under ticker "IMCR".

Immunocore is a UK-based late-stage biotechnology company pioneering the development of a novel class of T-cell receptor (TCR) bispecific immunotherapies designed to treat a broad range of diseases, including cancer, infectious and autoimmune disease.

Immunocore has been a part of the Company's portfolio since its launch on 30 October 2019. Prior to IPO, the Company together with other funds managed by RTW Investments, LP (the "Investment Manager") participated in a $75 million Series C financing round in Immunocore in January 2021.

Immunocore's IPO was significantly upsized, raising $253.8 million by offering 9,935,896 shares at $26.00 per share. On the first day of trading, Immunocore's share price increased by 66% to close at $43.20 per share.

Immunocore Announces Pricing of Upsized Initial Public Offering

Immunocore Holdings plc (Nasdaq: IMCR), a late-stage biotechnology company pioneering the development of a novel class of T cell receptor (TCR) bispecific immunotherapies designed to treat a broad range of diseases, including cancer, infectious and autoimmune disease, today announced the pricing of its upsized initial public offering in the United States of 9,935,896 American Depositary Shares ("ADSs") representing 9,935,896 ordinary shares at an initial public offering price of $26.00 per ADS, for total gross proceeds of approximately $258.3 million. All ADSs sold in the offering were offered by Immunocore. The ADSs are expected to begin trading on The Nasdaq Global Select Market on February 5, 2021 under the ticker symbol "IMCR." In addition, Immunocore has granted the underwriters a 30-day option to purchase up to an additional 1,490,384 ADSs at the initial public offering price, less underwriting discounts and commissions. The offering is expected to close on or about February 9, 2021, subject to customary closing conditions.
