Director/PDMR Shareholding
In accordance with the notification obligations under Article 19 of the UK Market Abuse Regulation, Renishaw plc (the "Company") announces the following transactions relating to certain directors of the Company ("Directors") under the Renishaw plc Deferred Annual Equity Incentive Plan (the "DAEIP").
The following Directors have been granted awards over 14,396 ordinary shares of 20 pence each in the Company ("Ordinary Shares") (the "DAEIP Awards") on 28 October 2021:

Subject to certain conditions in respect of service, the DAEIP Awards vest on 28 October 2024. The number of Ordinary Shares subject to the DAEIP Awards has been calculated based on the average closing middle market price for an Ordinary Share (as derived from the London Stock Exchange Daily Official List) for the five business days immediately preceding 28 October 2021, in accordance with the rules of the DAEIP. No payment was required for the grant of the DAEIP Awards.
