In accordance with the FCA's Disclosure and Transparency Rule 5.6.1(R), Resolute Mining Limited (ASX: RSG / LSE: RSG) (Resolute, or the Company) confirms that as at 29 May 2020, the Company's issued share capital comprises 1,102,826,939 ordinary shares of no par value, with each share carrying the right to one vote. Resolute does not hold any ordinary shares in treasury.

The above figure of 1,102,826,939 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or of a change to their interest in Resolute under the FCA's Disclosure and Transparency Rules

All of the 1,102,826,939 ordinary shares of non par value are quoted on the ASX. In London, an application will be made in due course for admission to the Official List of the FCA, standard segment, and to trading on the London Stock Exchange's Main Market for Listed Securities (LSE Admission) of the 21,212,747 shares issued as the share purchase plan component of the equity raising announced on 21 January 2020, the 132,733,185 ordinary shares issued as part of tranche 1 of that equity raising, the 22,727,273 shares issued as part of tranche 2 of that equity raising and the 23,000,000 shares issued as part of a placement on 17 April 2020. LSE Admission of these shares will require the publication of a FCA approved Prospectus. A Prospectus is being prepared and a further announcement will be made regarding the timing for LSE Admission following the approval and publication of the Prospectus.
