Exercise of Warrants

Total Voting Rights

13 April 2018

Red Rock Resources Plc, the natural resource investment and development company, announces that it has received notice of the exercise of 21,315,971 warrants at an exercise price of 0.66p per share, for gross proceeds of £140,685.41, which have today been credited to the Company's account. Accordingly, the Company has today issued 21,315,971 new ordinary shares of 0.01 pence each ("Ordinary Shares") in the Company.

Admission to trading on AIM and Total Voting Rights (TVR)

Application has been made to the London Stock Exchange for 21,315,971 new Ordinary Shares to be admitted to trading on AIM, which will rank pari passu with the Company's existing issued Ordinary Shares. Dealings are expected to commence at 8.00 a.m. on or around 19 April 2018.

Total Voting Rights (TVR)

Following the issue of the 21,315,971 new Ordinary Shares, the issued share capital of the Company consists of 534,931,519 Ordinary Shares of 0.01p each with voting rights. No Ordinary Shares are held in Treasury.

The above figure of 534,931,519 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the Disclosure Guidance and Transparency Rules.
