RockRose Energy plc (the "Company")
Exercise of options and PDMR Dealings
Following the announcement of yesterday that the High Court of Justice in England and Wales had made an order sanctioning the scheme of arrangement under section 899 of the Companies Act pursuant to which Viaro Energy will acquire the entire issued and to be issued ordinary share capital of RockRose (the "Scheme") and that the Scheme has now become fully unconditional, (subject only to the delivery of a copy of the Court Order to the Registrar of Companies), the Company received notice of exercise of 156,847 options held under the Rockrose Long Term Share Option Incentive Plan.
Of the 156,847 new ordinary shares to be issued, 13,667 will be satisfied by a transfer from the Company's employee benefit trust, and 143,180 new ordinary shares will be allotted and issued to option holders credited as fully paid. The 143,180 new ordinary shares are within the Company's "Rockrose Long Term Share Option Incentive Plan" block listing facility which has been effective since 15 May 2020.
Following this issue, the Company has the ability to issue 131,820 ordinary shares under "Rockrose Long Term Share Option Incentive Plan" block listing facility block listing facility of 15 May 2020.
As a result of this allotment, the total number of ordinary shares in issue now stands at 13,349,379.
The above figure 13,349,379 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
