STATEMENT REGARDING WITHDRAWAL OF RECOMMENDATION OF THE OFFER FROM ROME UK BIDCO LIMITED

On 23 January 2019, the boards of Rome UK Bidco Limited, a company formed on behalf of funds managed by Apollo Management IX, L.P., and RPC announced that they had reached agreement on the terms of a recommended all cash offer for the entire issued and to be issued ordinary share capital of RPC by Rome UK Bidco Limited at a price of 782 pence per share (the "Apollo Offer"). The Apollo Offer was to be effected by means of a Courtsanctioned scheme of arrangement under Part 26 of the Companies Act (a "Scheme of Arrangement").

The boards of Berry Global International Holdings Limited, an indirect whollyowned subsidiary of Berry Global Group, Inc. ("Berry") and RPC announced today that they have reached agreement on the terms of a recommended all cash offer for the entire issued and to be issued ordinary share capital of RPC at a price of 793 pence per RPC Share (the "Berry Offer") to be effected by means of a Scheme of Arrangement (such announcement being the "2.7 Announcement").

Following careful consideration, the RPC Board concluded that the terms of the Berry Offer represent a superior offer for RPC Shareholders as compared with the Apollo Offer. Accordingly, the board of RPC confirms that it has withdrawn its recommendation of the Apollo Offer and that it intends unanimously to recommend the Berry Offer to RPC shareholders.

ADJOURNMENT OF APOLLO OFFER COURT MEETING AND GENERAL MEETING

On 19 February 2019, RPC published and posted a scheme circular to the shareholders of RPC in connection with the Apollo Offer, containing, inter alia, notices of a Court convened meeting and a general meeting of RPC Shareholders in relation to the Apollo Offer, convened for 20 March 2019 at 11.00 a.m. and 11.10 a.m. respectively.

As a result of the Berry Offer, the RPC Board announces that the Chairman has adjourned the court meeting and general meeting of RPC Shareholders relating to the Apollo Offer for an indefinite period.

Additional information for US investors

The Acquisition relates to the shares of a UK company and is being made by means of a scheme of arrangement provided for under the Companies Act. A transaction effected by means of a scheme of arrangement is not subject to the tender offer rules or the proxy solicitation rules under the US Exchange Act. Accordingly, the Acquisition is subject to the disclosure requirements and practices applicable in the United Kingdom to schemes of arrangement which differ from the disclosure requirements of United States tender offer and proxy solicitation rules and the US Securities Act. If, in the future, Berry Bidco exercises the right to implement the Acquisition by way of a Takeover Offer and determines to extend the offer into the United States, the Acquisition will be made in compliance with applicable United States laws and regulations, including any applicable exemptions under the US Exchange Act. Financial information included in this announcement and the Scheme Document has been or will have been prepared in accordance with accounting standards applicable in the United Kingdom that may not be comparable to financial information of US companies or companies whose financial statements are prepared in accordance with US GAAP.

In accordance with normal United Kingdom practice and pursuant to Rule 14e-5(b) of the US Exchange Act, Berry Bidco or its nominees, or its brokers (acting as agents), may from time to time make certain purchases of, or arrangements to purchase, RPC Shares outside of the US, other than pursuant to the Acquisition, until the date on which the Acquisition and/or Scheme becomes effective, lapses or is otherwise withdrawn. These purchases may occur either in the open market at prevailing prices or in private transactions at negotiated prices. Any information about such purchases will be disclosed as required in the United Kingdom, will be reported to a Regulatory Information Service and will be available on the London Stock Exchange website at www.londonstockexchange.com.

In accordance with the Takeover Code, normal United Kingdom market practice and Rule 14e-5(b) of the US Exchange Act, Goldman Sachs International and J.P. Morgan Securities will continue to act as exempt principal traders in RPC securities on the London Stock Exchange. These purchases and activities by exempt principal traders which are required to be made public in the United Kingdom pursuant to the Takeover Code will be reported to a Regulatory Information Service and will be available on the London Stock Exchange website at www.londonstockexchange.com.
