Deliveroo plc ("Deliveroo" or "the Company")
EBT Share Purchase Programme
Further to the announcements made on 1 September 2022 and 30 September 2022, Ocorian Limited ("Ocorian" or the "Trustee"), which administers the Roofoods Ltd Employee Benefit Trust (the "EBT") is making market purchases of Class A ordinary shares of 0.5p each in the Company ("A Shares") (the "EBT Share Purchase Programme"). The Company was notified by Ocorian that the EBT has purchased a total of 3,848,838 A Shares as set out below.
These A Shares will be held in the EBT and will be used to satisfy employee share-based compensation awards. The EBT is a discretionary trust for the benefit of the Company's employees. The purchase of A Shares by the EBT has been funded by a loan from Roofoods Ltd.

The average price of the purchases during the period was £0.9364 pence per share.
Following this transaction, a total of 81,102,761 A Shares (representing 4.6201% of the Company's issued share capital), are held unallocated, by the EBT. The issued share capital in the Company remains unchanged at 1,755,425,173 Class A ordinary shares and 100,299,642 Class B ordinary shares.
