Block Listing Application

The Company announces that an application has been made to the Financial Conduct Authority (the "FCA") and to London Stock Exchange plc (the "London Stock Exchange") for a total of 39,131,000 Ordinary Shares of 0.5 pence each (the "Block Listing Shares") to be admitted to the equity shares (commercial companies) category of the Official List of the FCA and to trading on the main market of the London Stock Exchange (the "Admission").

The Block Listing Shares will be issued from time to time to the extent required pursuant to the vesting of awards and, where applicable, the exercise of share options under the following Deliveroo share plans: (i) restricted stock units (RSU) (6,205,000 shares); (ii) Deliveroo Incentive Plan - Options or Awards (29,250,000 shares; (iii) Deliveroo Incentive Plan - US Sub Plan (3,605,000 shares); and (iv) Deliveroo Incentive Plan - France Sub Plan (71,000 shares).

The current balance of 32,526,878 ordinary shares under the Company's existing block listing will remain in place. Admission is expected to become effective on 12 August 2025. When issued, the Block Listing Shares will rank pari passu in all respects with the existing issued ordinary shares of the Company.
