6 July 2011 Red Emperor Resources NL ("Red Emperor" or "the Company") Prospectus & Notice of Meeting PROSPECTUS
The Board of Red Emperor advises that it has published a recompliance prospectus for the purposes of satisfying Chapters 1 and 2 of the Australian Securities Exchange ("ASX") Listing Rules and to satisfy ASX's requirements for readmission to the Official List following a change to the nature and scale of the Company's activities.
Red Emperor will undertake a capital raising at A$0.35 per share pursuant to its recompliance prospectus to raise A$1,000,000. The Company has appointed Max Capital as the lead manager for the raising. A copy of the prospectus is available on the Company's website www.redemperorresources.com.
NOTICE OF MEETING
Further, the Board of Red Emperor would like to draw shareholders' attention to a Notice of General Meeting ("Notice") that was released to the ASX prior to the Company's Admission to AIM.
The Company will hold a shareholder meeting on 15 July 2011. The purpose of the meeting is to approve a descriptive change of the Company's activities as required by ASX Listing Rule 11.1.2 from mineral exploration to oil and gas exploration and mineral exploration and to approve the issue of securities, including options to management and advisers. A copy of the Notice is available on the Company's website www.redemperorresources.com.
The Directors have determined pursuant to Regulation 7.11.37 of the Corporations Regulations 2001 (Cth) that the persons eligible to vote at the General Meeting are those who are registered shareholders of the Company as at 10:00am (WST) on 13 July 2011.
The General Meeting of Shareholders of Red Emperor Resources NL will be held at Grange Consulting, 945 Wellington Street, West Perth, Western Australia at 10: 00am (WST) on 15 July 2011.
To vote by proxy, forms should either be delivered to the Company care of Grange Consulting, PO Box 1263, West Perth, Western Australia, 6872 or sent by facsimile on number 00 61 8 9322 7602 before not later than 10:00am (WST) on 13 July 2011.
