Red Leopard Holdings PLC08 June 2005 RED LEOPARD HOLDINGS PLC DIRECTORATE CHANGES The Board of Red Leopard Holdings plc (the "Company") announces that CliveRussell, who is at present a director of Harrell Hospitality Group Inc., hasbeen appointed to the Board of the Company as executive chairman with effectfrom today. Harrell Hospitality Group Inc. recently sold its subsidiary, Harrell Hotels(Europe) Limited, to the Company, and as a result of receiving shares in theCompany as part consideration, is a significant shareholder of the Company. The board of Red Leopard Holdings Plc announces a re-organisation that sees theappointment of Clive Russell as executive chairman. He will bring to theCompany a wide range of practical experience of applying financial structuringmethodology and of corporate strategising, including their application to theproperty and the hotel industry. This appointment is intended to strengthenfurther the Board's broad investment expertise, including particularly withinthe property and hotel sectors. Simultaneous with the appointment, the Board also announces that Stephen Thomsonand Robert Coe, together constituting the existing Board, will both become non-executive directors of the Company with immediate effect. Mr Russell, who previously resigned as a director of Harrell Hotels (Europe)Limited, will, simultaneously with the appointment to the Board of the Company,be re-appointed as a director of Harrell Hotels (Europe) Limited. It is estimated that the deficit toexternal, non-interfirm creditors did not exceed £8 million. He was reprimandedand fined by the Institute of Chartered Accountants of England and Wales as aresult of this. There are no further disclosures required by paragraph (f) of Schedule Two ofthe AIM Rules in respect of Mr Russell.
