MCF earn-outĀ payment
Camco International Limited (Camco), a leading climate change business in theĀ growing carbon and sustainable development markets,Ā detailsĀ aĀ payment in relation to the acquisition ofĀ MCF Finance and Consulting Co. Ltd (MCF)Ā which was announced on 25 September 2006.Ā The payment has been calculated pursuant to an agreed earn-outĀ formulaĀ and reflects the value contributed to CamcoĀ since the acquisition.Ā
Consideration will beĀ paidĀ in the form ofĀ OrdinaryĀ Shares in CamcoĀ and anĀ application has been made for the admissionĀ of 1,655,232Ā Ordinary Shares to AIM.Ā These shares areĀ expectedĀ to be admitted to trading onĀ 10Ā February 2009Ā but are subject to lock-in arrangements whichĀ prohibitĀ their saleĀ until 22 September 2009. Following admission,Ā Camco will haveĀ aĀ total issuedĀ share capitalĀ of 169,165,197Ā Ordinary Shares.Ā
