The following amendment has been made to the 'Update' announcement released on 29 September 2010 at 7am under RNS No 4765T.

In the final sentence it now reads 83,801,689 new ordinary shares. The previous amount of 83,801,659 should be disregarded

All other details remain unchanged.

X-Phonics plc

Further to the announcement of 27 September, the Company confirms its name has been changed to Verdes Management plc (AIM: VMP). Details including information required in accordance with Rule 26 of the AIM Rules for Companies ("the AIM Rules") will shortly be available on the Company's web site: www.verdes-group.com

In addition, the Company confirms its registered office has been changed to Durham House, I Durham House Street, London WC2N 6HG

Further to the announcement of the appointment of John Matthews and Adam Webb as Chairman and Chief Executive of X-Phonics (AIM: XPH) respectively with effect from 27 September 2010, the following information, as contained in the circular to shareholders dated 2 September 2010, is given in accordance with paragraph (g) Schedule Two the AIM Rules for Companies:

John Waylett Matthews, 65

Current Directorships/partnerships: P Matthews Limited, SDL plc, Diploma plc, Minerva plc, Media Systems Limited, and Forest School, Essex

Previous directorships/partnerships over the last five years: Crest Nicholson plc, Regus plc, Granville Baird Limited, center parcs plc, and Rotork P.L.C.

Robert Adam Hillary Webb, 57

Current Directorships/partnerships: Verdes Partners Limited

Previous directorships/partnerships over the last five years: Navigator Holdings plc, Navigator Corporate Finance Limited, and Adam & Partners Limited

Navigator Holdings plc went into liquidation in October 2007 with a deficit of approximately £280,000 owed to external creditors. 

A receiver was appointed to Crown Products Group plc in January 1998. Adam Webb had been appointed as chairman in October 1997 in an attempt to rescue that company.

Adam & Partners Limited undertook a creditors voluntary arrangement in January 1999. Adam Webb was a director from April 1992 until October 2007.

Application has been made for 83,801,689 new ordinary shares to be admitted to AIM and it is expected that dealings will commence with effect from 4 October 2010.
