This announcement is a replacement of an announcement under RNS Number : 6608X issued at 3.30pm on 15 January 2014, which omitted the final paragraph referring to information required by the City Code on Takeovers and Mergers.

Result of General Meeting

("Verdes" or the "Company")

At a general meeting held earlier today all the resolutions were passed.

As a result the proposed capital reorganisation, whereby each of the 666,680,735 issued ordinary shares of 0.1p each in the capital of the Company are to be sub-divided into one Ordinary Share of 0.01p each in the capital of the Company (the "New Ordinary Shares") and one C deferred share of 0.09p each in the capital of the Company is now effective.

The New Ordinary Shares will commence trading on AIM with effect from 16 January 2014.

As a result the maximum shareholding of the Concert Party (as defined in the Circular to shareholders posted on 31 December 2013) is 1,275,000,000 ordinary shares of 0.01p assuming conversion of both the Newick Convertible Loan and the Westminster Convertible Loan at the minimum potential conversion price of 0.05p per Existing Ordinary Share (comprising 69.09% of the share capital thereby enlarged).
