REACT Group PLC ("REAT" or "the Company")

Placing

REACT Group plc (AIM: REAT), announces that it has conditionally placed 1,753,703 new ordinary shares ("Placing Shares") in the Company at 1.68p per new ordinary share, being the shares not taken up in the recent Open Offer.

The Placing Shares, when issued and fully paid, will rank equally in all respects with the existing ordinary shares.

It is expected that Admission will become effective and dealings in the Placing Shares will commence on 27 August 2015.

Total Voting Rights

Following admission of 16,369,047 new ordinary shares today in relation to the conversion of the Helium Convertible Loan (as announced on 14 August 2015), for the purposes of the Disclosure and Transparency Rules, the total number of voting rights in the Company at present is 273,654,050. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the FCA's Disclosure and Transparency Rules.
