Six Degrees Holdings Limited ("Six Degrees")
Statement regarding Redcentric plc ("Redcentric")
Further to the announcement made by Redcentric on 2 September in which Six Degrees was identified as a potential bidder for Redcentric, Six Degrees today confirms that it does not intend to make an offer under Rule 2.7 of the Code for the entire issued and to be issued share capital of Redcentric.
This is a statement to which Rule 2.8 of the Code applies.
Under Note 2 on Rule 2.8 of the Code, Six Degrees, and any person acting in concert with Six Degrees, reserves the right to set aside the restrictions in Rule 2.8 and participate in an offer or possible offer for Redcentric (and/ or take any other action which would otherwise be restricted under Rule 2.8 of the Code) within six months of the date of this announcement in the following circumstances: (i) with the agreement of the board of Redcentric; (ii) if a third party announces a firm intention to make an offer for Redcentric; (iii) if Redcentric announces a "whitewash" proposal (see Note 1 of the Notes on Dispensations from Rule 9) or a reverse takeover (as defined in the Code); and (iv) if there has been a material change of circumstances (as determined by the Panel on Takeovers and Mergers).
