Director's Dealings, Issue of Equity and Total Voting Rights
Redcentric plc (AIM: RCN), announces that it has today received notification from Fraser Fisher, Chief Operating Officer, that he exercised 96,000 options over ordinary shares of 0.1p each in the Company ("Shares") on 12 December 2014, at an exercise price of 70 pence per Share, pursuant to the Company's EMI Plan 2013. Following this exercise, Mr Fisher sold 96,000 Shares at an average price of 146.9229 pence per Share on 12 December 2014. Accordingly, application has been made for the 96,000 Shares issued pursuant to the option exercise to be admitted to trading on AIM. The new Shares will rank pari passu with the Company's existing Shares and it is expected that admission will become effective and dealings in the new Shares will commence at 8.00 a.m. on 19 December 2014.
Both before and after the exercise and sale, Mr Fisher held 90,557 Shares, representing a beneficial interest in the Company of 0.06% of the current issued share capital. In addition, Mr Fisher holds options over 1,343,111 Shares, 189,715 of which have vested, and the remainder of which are subject to performance conditions.
Following the issue of the 96,000 Shares, the Company will have a total of 144,202,114 Ordinary Shares in issue with one voting right per share.
The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
