Director's Dealings, Issue of Equity and Total Voting Rights

Redcentric plc (AIM: RCN), announces that it has received notification from Fraser Fisher, Chief Executive Officer, that he exercised 200,000 options over ordinary shares of 0.1p each in the Company ("Shares") on 23 June 2016, at an exercise price of 70 pence per Share, pursuant to the Company's EMI Plan 2013. Following this exercise, Mr Fisher sold 200,000 Shares at an average price of 180 pence per Share on 23 June 2016. In addition, the Company announces that on 23 June 2016 it received notices of exercise in relation to the exercise of employee share options over 237,500 Shares issued under the Company's Unapproved Share Option Plan.

Accordingly, application has been made for the 437,500 Shares issued pursuant to the option exercise to be admitted to trading on AIM. The new Shares will rank pari passu with the Company's existing Shares and it is expected that admission will become effective and dealings in the new Shares will commence at 8.00 a.m. on 30 June 2016.

Both before and after the exercise and sale, Mr Fisher held 90,557 Shares, representing a beneficial interest in the Company of 0.06% of the current issued share capital. In addition, Mr Fisher holds options over 1,159,933 Shares; 561,143 of which have vested, 581,968 of which are subject to performance conditions, and 16,822 of which are part of the Redcentric SAYE Option Plan 2014.

Following the issue of the 437,500 Shares, the Company will have a total of 146,318,685 Ordinary Shares in issue with one voting right per share.

The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
