Director Appointment
Reconstruction Capital II Limited announces the appointment of Martin Derbyshire as an Independent Non-executive Director of the Company, with immediate effect.
Mr Derbyshire has worked for over 25 years in the Trust, Corporate and Fund Administration sector principally as an executive Director & Shareholder of the international trust, fund and corporate service provider SMP Group Limited (now Suntera Global - www.suntera.com/news/smp-group-rebrands-to-suntera-global) where he sat on the main board and on a number of its licensed and regulated operational subsidiaries. He was a member of the management buyout team that acquired the business from the Fortis trust, banking and insurance group in 2007 and exited in 2019 following a secondary MBO backed by private equity. He was involved on a day-to-day basis in the management of trust, corporate & fund administration business for clients of the group and was regularly engaged to sit on the boards of a diverse range of businesses building experience in several business sectors. After leaving SMP, Martin continues to hold non-executive directorship positions in the investment, property development, financial services and industrial machinery sectors as well as pursuing several private investments and consultancy work with startup companies. Mr Derbyshire is familiar with both Romania and the investee companies of RC2, having sat on the RC2 board between October 2017 and September 2019 as a Non-Executive Director, connected to Mr Ion Florescu through his then involvement with SMP Group Limited, and as a Non-Executive director of The Romanian Investment Fund Limited and Reconstruction Capital plc, investee companies of RC2 in which Mr Florescu is also an indirect shareholder.

In August 2017 a security trustee of a shareholder group of Bright Station Ventures Limited appointed a receiver over certain fixed assets of that company. The receiver appointment ceased on 21 February 2020. Mr Derbyshire was a director of Bright Station Ventures Limited until April 2017.
The board consider Mr Derbyshire to be independent of character and judgement and that there are no existing relationships or circumstances that are likely to affect his judgment.
There is no other information that is required to be disclosed pursuant to Rule 17 or paragraph (g) of Schedule Two to the AIM Rules for Companies.
