Issue of Shares

Further to the announcement made by the Company on 19 October 2011 regarding the acquisition of Brandplay (UK) Limited, RAM, the investor in Digital out of Home media, communications and intellectual property, has issued a further 3,500,000 new ordinary shares of 1p each in RAM ("New Shares") in respect of the settlement of deferred consideration due under the acquisition agreement.

Application has been made for the admission of the New Shares to trading on AIM, which is expected to take place on 9 May 2012.

On admission, the New Shares will rank pari passu with the existing ordinary shares in the Company. Following the issue, the enlarged share capital of the Company will be 270,892,952 ordinary shares.

Therefore the total number of Ordinary Shares in the Company with voting rights is 270,892,952, which may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.
