PZ Cussons Plc (the 'Company')
The Company announces that on 2 August 2013 ordinary shares of 1p each in the Company were transferred to the Executive Directors of the Company and certain persons discharging managerial responsibility ('PDMRs') by the Paterson Zochonis Employee Trust ('the Trust') in relation to deferred awards made in 2010 under the Company's Deferred Annual Share Bonus Scheme ('DASBS'). The shares have been held in trust for three years and have been released in accordance with the rules of the DASBS.
UK residents pay tax and National Insurance at the time the shares are transferred. The Executive Directors and PDMRs sold the number of shares listed below for a price of £3.9010 per share to discharge their tax obligations arising from the release of the shares.

On the same day, Mr Leigh sold 14,207 ordinary shares to the Trust for a consideration of £3.9010 per share.

On the same day, Mr Plant sold 2,500 ordinary shares to the Trust for a consideration of £3.9010 per share.
On the same day, Mr Davis exercised options granted to him under the Company's Executive Share Option Scheme over 71,070 ordinary shares of 1p in the Company at the exercise price of £1.407 per share.
Mr Davis sold 71,070 ordinary shares to the Trust for a consideration of £3.9010 per share.
No new shares have been issued in respect of the dealings above.
The Trust is a discretionary trust under which the class of beneficiaries who may benefit comprises all bona fide employees and former employees of the Company and its subsidiaries including members of such employees' and former employees' immediate families. Accordingly, the Executive Directors and PDMRs of the Company are included in the class of beneficiaries and are deemed to have an interest in all of such shares. Subsequent to the above dealings, the Trust's holding in the ordinary shares of 1p in the Company is 3,602,499 shares (0.84%).
