Directors Dealing

This notification is made in accordance with DR 3.1.4R(1)(a).

On 2 August 2010 the following Directors of the Company and other persons discharging managerial responsibility ("PDMRs") were granted conditional awards ("Awards") under the PZ Cussons Performance Share Plan to acquire the following numbers of ordinary shares of 1p each in the Company as set out below.

The Awards will ordinarily vest at nil cost on the third anniversary of grant

subject to the grantee's continued employment and the attainment of performance targets. No consideration is payable in respect of the grant of the Awards.

On the same date the following awards of ordinary shares in the Company were made to Executive Directors and PDMRs under the terms of the PZ

Cussons Deferred Annual Share Bonus Scheme ("the Scheme"):-

In respect of the year ended 31 May 2010, senior executives, including the Executive Directors and PDMRs listed above, were eligible to participate in the Scheme, pursuant to which they could earn an annual bonus linked to financial performance targets. Bonus awards for this period are payable 50% in cash and 50% in deferred shares. The awards set out above relate to deferred shares awarded as a result of the attainment of performance targets for the year ended 31 May 2010.

The deferred shares will normally be transferred to the Executive Director or PDMR from the Paterson Zochonis Employee Trust in three years' time, provided that he remains an employee of a PZ Cussons Plc group company.
