Result of General Meeting
Purplebricks Group plc (AIM: PURP) ("Purplebricks" or the "Company"), the hybrid estate agency, is pleased to announce that at its general meeting of the Company's shareholders held earlier today all resolutions were unanimously passed with 99.98 per cent of votes cast in favour.
As a result, the Company's directors have the authority to allot and issue 27,777,777 new ordinary shares of 1 penny each in the capital of the Company for cash on a non-pre-emptive basis (the "New Ordinary Shares"). The allotment and issue of the New Ordinary Shares is in connection with the c.£100 million (before expenses) subscription by Axel Springer as part of its £125 million strategic investment in the Company and as more fully detailed in the Company's announcement of 26 March 2018 and the shareholder circular published on 29 March 2018.
Application has been made for the New Ordinary Shares, which rank pari passu with the Company's existing issued ordinary shares, to be admitted to trading on the AIM market of London Stock Exchange plc ("AIM"). Dealings on AIM are expected to commence at 8.00 a.m. on 19 April 2018 ("Admission").
Total Voting Rights
Following Admission, the issued share capital of the Company will comprise 301,843,009 ordinary shares with voting rights attached (one vote per share). This figure of 301,843,009 may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
