Grant and Exercise of Long-Term Incentive Plan ("LTIP") Options

and

Issue and Movement of Treasury Shares

PureCircle (LSE: PURE), the world's largest producer and marketer of high purity stevia ingredients provides an update of new options granted and options exercised under the Company's LTIP, as well as the movement of treasury shares and the issue of new shares in the Company to be held as treasury shares.

1) Certain Non-Executive Directors' ("NEDs") options granted and exercised

(a) 11,500 options have been granted in lieu of fees covering a 6-month period from 1 January 2013 to 30 June 2013, at an exercise price of GBP2.43 per share and vesting on 1 July 2013; and

(b) 21,100 options were exercised at the price of GBP1.37 per share on 18 March 2013. These were converted into shares held in the Company by the NEDs.

The interests held by the relevant NEDs following the above movements in options are tabled below:

2) Shares issued and movement in treasury shares

(a) 300,000 new ordinary shares have been issued by the Company to satisfy options vesting on an ongoing basis. These shares will be held as treasury shares by the Company; and

(b) 58,100 shares were transferred out from treasury on 19 March 2013 to satisfy both the above NEDs' option exercise and senior management options exercised under the terms of the Company's LTIP. 37,000 options were exercised by senior management on 18 March 2013 at a nil exercise price per share.

Following the above events, the total number of issued ordinary shares in the Company is 164,866,294 of which 262,087 are held as treasury shares. The number of voting rights in the Company is 164,604,207. This figure should be used by shareholders as the denominator in the calculation of their interest in the Company.

Application has been made for the 300,000 new shares to be admitted to AIM on 22 March 2013.
