COMPLETION OF SHARE PLACEMENT & BOARD APPOINTMENT
PureCircle (LSE: PURE)the world's largest producer and marketer of high purity stevia successfully completed on 8 August 2012 the £20 million Placement that was announced on 1 August 2012 ("the Placement Completion").
As part of the Placement Completion:
(1) 10,000,000 (ten million) new ordinary shares of the Company have been issued to Wang Tak Company Limited ("Wang Tak") and have been admitted for trading on AiM. The number of shares on issue for the Company is now 164,566,294.
(2) The subscription funds of £2.00 per share or £20 million in total (approximately US$31 million) have been received by the Company.
(3) Significant shareholder Wang Tak now holds 19,276,150 shares in PureCircle, representing 11.7% of the increased share capital of the Company. Wang Tak has agreed to a three year "lock-up" agreement for the ten million placing shares.
(4) Mr. Tan Boon Seng, as a representative of Wang Tak, is appointed as a Non-Executive Director of PureCircle with immediate effect, with Ms. Mei Sian Tan appointed as his Alternate Director.
Mr. Tan Boon Seng, aged 56, is the Chairman and Managing Director of Lee Hing Development Limited ("Lee Hing"), a company listed on the Hong Kong Stock Exchange and the holding company of Wang Tak, of which Mr. Tan Boon Seng is also a Director. He is also an Executive Director of IGB Corporation Berhad, a company listed on the Bursa Malaysia (the Malaysian Stock Exchange), and a Director of Wo Kee Hong (Holdings) Limited and Genting Hong Kong Limited, each listed on the Hong Kong Stock Exchange. Ms. Mei Sian Tan is appointed as an Alternate Director for Mr. Tan Boon Seng. A full list of Mr. Tan Boon Seng's directorships and partnerships in the past five years is included as an appendix to this announcement. Mr. Tan Boon Seng has an indirect interest in PureCircle as he is a substantial shareholder of Lee Hing (with a 37.06% interest) and Wang Tak is a wholly owned subsidiary of Lee Hing. As such, Mr. Tan Boon Seng has an indirect interest in PureCircle of 19,276,150 shares as held by Wang Tak, representing 11.7% of the increased share capital of the Company.
Ms. Mei Sian Tan, aged 28, is a Manager of Goldis Berhad, a company listed on the Bursa Malaysia, and is responsible for managing corporate and private equity investments. She was previously an Engagement Manager at Oliver Wyman where she specialized in financial services and risk management consulting and worked with major financial institutions in the United States, United Kingdom, Netherlands, China, Taiwan, Hong Kong, Singapore, Malaysia and Australia. Ms. Tan is the Chairman of Master Games International, a privately held computer games company, and is a director of Lautan Bumimas Sdn Bhd, a subsidiary of Goldis Berhad. Ms. Tan holds no interest in the issued capital of the Company.
There are no other matters in relation to Mr. Tan Boon Seng or Ms. Mei Sian Tan that require disclosure under the AIM Rules.
