CSS Stellar PLC07 June 2006 CSS Stellar plcDirector Shareholding7 June 2006 The Board of CSS Stellar plc ("the Company") announces that, following itsreview of staff incentives, changes to the share options of a number of keyemployees are being implemented. The following changes have been made to theoptions of ordinary shares of 5 pence each in the Company owned by Sean Kelly,Chief Executive: The aggregate number of options has been reduced from 727,025 to 580,000 (the "New Options"). This represents 2.0% of the fully diluted number of shares ofthe Company in issue. The exercise price of the New Options is 26 pence, being the closing mid-marketprice of the Company's shares on 6 June 2006. Prior to the changes announcedtoday, the exercise prices of Mr Kelly's options ranged from 50 to 80 pence. None of the New Options can be exercised before 7 June 2009. There have been no other changes to the terms of Mr Kelly's options overordinary shares in the Company.
