Delay to filing of Annual Report & Financial Statements for the Year to 31 December 2024

("Pineapple Power" or "the Company") 

Pineapple Power Corporation PLC, a special purpose acquisition company, announces that there will be a delay to the publication of its consolidated audited results for the financial year ended 31 December 2024.

In accordance with the listing rules, the Company is required to publish its audited 2024 Annual Report by 30 April 2025. The Company is continuing to work with its auditors, PKF Littlejohn LLP, to finalise the audit of the financial statements for the year ended 31 December 2024 and to publish the audited results as soon as possible.

The listing of the Company's shares is currently suspended following the announcement of a proposed reverse takeover transaction on 23 December 2024, and the Company's listing will remain suspended following the publication of its audited results pending either the issue of an announcement providing further details on the proposed acquisition, the publication of a prospectus, or an announcement that the proposed acquisition is not proceeding. Any restoration of the listing is subject to the approval of the Financial Conduct Authority.
