EGM results

PJSC Polyus (LSE, MOEX: PLZL) ("Polyus", or the "Company") announces the results of its Extraordinary General Meeting held on 06 June 2022 ("EGM").

The resolutions made at the EGM included the following:

1. To early terminate powers of members of the Board of Directors of PJSC Polyus elected at the Annual General Shareholders Meeting of PJSC Polyus on 27 May 2021.

2. To elect PJSC Polyus Board of Directors as follows:

1) Alexey Vostokov

2) Vladimir Polin

3) Mikhail Stiskin

4) Julia Andronovskaya

5) Victor Drozdov

6) Feliks Itskov

7) Stanislav Pisarenko

8) Anton Rumyantsev

9) Akhmet Palankoyev

Chairman and Board Committees

Mr. Vladimir Polin (Senior Vice President, Operations) will serve as Chairman of the Board with effect from 7 June 2022.

The interim Board will establish Audit and Nomination & Remuneration Committees, which, among other matters, will consider dividend payouts and proceed with the search for potential candidates to fill the roles of Independent Directors.

The Board recommendations on the aforementioned matters shall be approved at the Company's Annual General Meeting ("AGM") the date of which will be announced in due course.
