Additional Listing and Director's Shareholding
On 27 April 2010, the Company approved the allotment of 2,809 ordinary shares of 1p ("Ordinary Shares") to Samuel Wauchope, Senior Independent Director, in recognition of work undertaken in connection with the listing of the Company's shares on the Channel Islands Stock Exchange; such shares to be registered in the name of You and Your Health Limited. The Ordinary Shares were allotted at 231.5p per share, calculated at the closing middle market price of the Company's shares derived from the Daily Official List on 26 April 2010.
Following the above-mentioned allotment, Sam Wauchope's beneficial interest in the enlarged Ordinary Share capital of the Company is as shown below:

Application has been made for 2,809 Ordinary Shares (the 'New Shares') to be admitted to trading on AIM and admission is expected to occur on 4 May 2010. The New Shares will rank pari passu with the Company's existing Ordinary Shares.
Following admission of the New Shares, the total issued share capital of the Company will be 52,782,180 Ordinary Shares, all of which have voting rights.
The above figure (52,782,180) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Plant Health Care plc under the FSA's Disclosure and Transparency Rules.
