Director/PDMR Transaction - Initial Notification
The Company announces that 3,208 ordinary shares of 20 8/11p ("Shares") have been delivered for no consideration to Malcolm Le May, who is a director of the Company, as a role based allowance (the "RBA").
The RBA is equal in value to 15% of his base salary as at the date of this announcement but pro rated for the period starting on 3 November 2020 (being the date on which the Company's shareholders approved the directors' remuneration policy including the award of RBAs) and ending on 31 December 2020. The number of Shares delivered was calculated by dividing the monetary value of the RBA (less deductions for income tax and social security) by the closing mid-market price of a Share on the London Stock Exchange on 15 December 2020.
The Shares delivered under the RBA will be held by a nominee and subject to a holding period, during which the Shares cannot be sold, transferred, charged, pledged, mortgaged or otherwise encumbered. The holding period will end for one third of the Shares subject to the RBA on each of 15 December 2021, 15 December 2022 and 15 December 2023.
