Share Interests of Directors and Persons Discharging Managerial Responsibilities (PDMRs) 

The Company was notified on 3 April 2009 of the following disposal of Premier Foods plc ordinary shares of 1p each ("Shares") by a Director of the Company:

Ian McHoul, Non-executive Director

On 3 April 2009 Mr McHoul disposed of 10,000 Shares at a price of 34.75p and 167,440 Shares at 34.67p representing his entire shareholding in the Company.
