Notification of Transaction by

Persons Discharging Managerial Responsibilities (PDMRs)

Pursuant to the Company's obligation under the Market Abuse Regulation 19, the Company hereby notifies that Alastair Cochran, Chief Financial Officer, became entitled on 8 October 2018 to 15,878 ordinary Shares of US$0.02 each in the Company at nil cost, following the automatic vesting of approximately one third of the Shares awarded to him under the Petrofac Restricted Share Plan on 6 October 2016.

Mr Cochran now holds 40,398 Shares representing 0.0116 per cent of the total voting rights of the Company. He sold 7,478 Shares today at 630.80 pence per Share on the London Stock Exchange to satisfy his tax liability.

The Company's issued share capital consists of 345,912,747 Shares with voting rights. Each Share carries the right to one vote. The Company does not hold any shares in Treasury.
