Pochin's PLC01 July 2005 POCHIN'S PLC 1st July 2005 Detail: Substantial Shareholder Dealings Pochin's PLC ("the Company") Dealing by Substantial Shareholder & Senior Manager The Company was notified on 30th June 2005 of the following transaction whichtook place on 30th June 2005: •Disposal by Mrs Jane Margaret Lanni of 908,060 25p Ordinary shares in the Company for 245p per share to Michael Chadwick Mrs Jane Margaret Lanni is a director of Pochin Plant Limited, a wholly ownedsubsidiary of the Company. As a result of this transaction Jane Margaret Lanni has reduced her interest inthe share capital of the Company from 4.73% to 0.36%. Dealing by Members of the Deemed Concert Party The Company was also notified on 30th June 2005 of the following transactionsall of which took place on 30th June 2005: •Disposal by Sean Carman Lanni of 55,010 25p Ordinary shares in the Company for 245p per share to Michael Chadwick •Disposal by Lynette Ann Lanni of 431,550 25p Ordinary shares in the Company for 245p per share to Michael Chadwick •Disposal by Amanda Jane Edwards of 564,160 25p Ordinary shares in the Company for 245p per share to Michael Chadwick Mrs Jane Margaret Lanni, Sean Carman Lanni, Lynette Ann Lanni and Amanda JaneEdwards are all members of the deemed concert party, full details andexplanatory notes of which are contained in the Annual Report & Accounts of theCompany to 31st May 2004 ("the Accounts"). As a result of these transactions:- •Sean Carman Lanni has reduced his interest in the share capital of the Company from 0.27% to Nil%; •Lynnette Ann Lanni has reduced her interest in the share capital of the Company from 2.08% to Nil%; •Amanda Jane Edwards has reduced her interest in the share capital of the Company from 2.71% to Nil%; These transactions reduce the total holding of the deemed concert party reportedin the Accounts by a total of 1,958,780 25p Ordinary Shares in the Company. Thisreduces the deemed concert party holding by 9.42% from 63.5% as reported in theAccounts to 53.8%. Dealing by Substantial Shareholder The Company was also today notified of these same transactions by MichaelChadwick the acquirer of the above-mentioned shares. Michael Chadwick has alsoadvised the Company of his connection with Quiros Limited (a company owned by atrust of which Michael Chadwick is settlor). As a result of these transactions the combined interest in the share capital ofthe Company of Michael Chadwick and Quiros Limited has increased to 4,564,16425p Ordinary Shares in the Company, which equates to an increase from 12.54% to21.94%.
