Intended Delisting and Cancellation of Securities from the London Stock Exchange

The Company announces that applications have been made to the UK Listing Authority for the cancellation of the listing of the Company's ordinary shares of 25 pence each (ISIN GB000692601) ("Ordinary Shares") on the Official List of the UK Listing Authority and to the London Stock Exchange plc ("LSE") for the cancellation of the admission to trading of the Ordinary Shares on the Main Market of the LSE. 

The Company is de-listing as a result of the Offer by Middlewich Limited ("Middlewich") for the Company having been declared unconditional in all respects on 10 July 2014.

As Middlewich has, by virtue of acceptances of the Offer, acquired Pochin's shares carrying over 75 per cent. of the voting rights of Pochin's, the 20 Business Days' notice period for the cancellation of the listing, and for the cancellation of the admission to trading, of the Ordinary Shares has commenced. The last day of dealings in the Ordinary Shares on the LSE is expected to be 7 August 2014. The cancellation of the listing and of trading on the LSE of the Ordinary Shares is expected to take effect at or about 8.00 a.m. on 8 August 2014.
