Director Shareholding and Additional Listing

Outsourcery (AIM: OUT) announces that a total of 2,736,304 ordinary shares of 1 pence each ("Ordinary Shares") have been issued and allotted following an exercise of options by Piers Linney and Simon Newton, Co-CEOs of the Company. These options were granted in August 2014 as part of the salary sacrifice arrangement.

Application has been made to the London Stock Exchange for the Ordinary Shares, which will rank pari passu with the existing Ordinary Shares in issue, to be admitted to trading on AIM, and admission is expected to become effective on 9 October 2015.

Following the above transactions Piers Linney's beneficial interest is 7,283,299 Ordinary Shares in Outsourcery, representing approximately 13.11% of the enlarged issued share capital and he has outstanding options over 631,848 Ordinary Shares, representing approximately 1.14% of the enlarged issued share capital.

Following the above transactions Simon Newton's beneficial interest is 7,283,299 Ordinary Shares in Outsourcery, representing approximately 13.11% of the enlarged issued share capital and he has outstanding options over 631,848 Ordinary Shares, representing approximately 1.14% of the enlarged issued share capital.

The Company's total issued share capital upon admission of the Ordinary Shares will be 55,555,818 Ordinary Shares. This figure of 55,555,818 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
