BLOCK LISTING APPLICATIONOCADO GROUP PLC

Ocado Group plc (the "Company")Block Listing Application

The Company announces that an application has been made to the Financial Conduct Authority ("FCA") and the London Stock Exchange ("LSE") for the admission of 820,000 of its ordinary shares of 2 pence each ("Shares") to trading on the main market for listed securities of the LSE and to the premium segment of the official list of the FCA. The Shares will rank pari passu with the existing issued ordinary shares of the Company.

The Shares will be reserved under a block listing in connection with the Company's Long Term Incentive Plan ("LTIP"). The Shares will be issued from time to time in satisfaction of options granted under the LTIP.

Admission of the Shares is expected to take place on 26 February 2020.

This announcement is made in accordance with Listing Rule 3.5.5.
