Norcros PLC - Voting Rights and Capital

This announcement is made in accordance with DTR5.6.1.

As at 31 March 2012, the Company's issued share capital consists of 579,832,604 ordinary 1p shares admitted to trading. Each ordinary share carries the right to one vote in matters at general meetings of the Company. The Company does not hold any ordinary shares in treasury.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interests in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
