Confirmation of Capital Reduction
The Company announces today, 29 March 2022, that further to its regulatory news release on 20 December 2021, the High Court of Justice in England and Wales has made an order confirming the cancellation of 10,671,088 ordinary shares held in treasury (the "Capital Reduction") under section 648 of the Companies Act 2006.
The Capital Reduction, as described in the Notice of 2022 Annual General Meeting (which is available on the Company's website (www.numis.com/investors)), was approved by shareholders at the Annual General Meeting held on 8 February 2022. The order of the Court has been registered with the Registrar of Companies and, accordingly, the Capital Reduction has now become effective.
As a result of the above, the total number of the Company's shares held in Treasury is 1,060,000 (0.93%) and the total number of ordinary shares is 114,367,448. The total number of voting rights in the Company is 113,307,448, which is the number which should be used by the shareholders as the denominator for calculations by which they will determine if they are required to notify their interest in, or a change to their interests in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
