The Company announces that Graham Jennings, Group Managing Director of Northern Bear, will leave the board of the Company on 31 March 2020, which coincides with the Group's financial year end. Following Graham's leadership we believe the Group's businesses are as well placed as they can be to deal with the issues which they currently face and can now operate independently, without his day-to-day involvement and supervision. His other responsibilities will be dealt with by the other executive members of the board and there is no plan to recruit a successor at this juncture.

Following a board reorganisation in October 2011, Graham became Group Managing Director, performing that role alongside his position as Managing Director of Jennings Roofing. Graham was instrumental in steering the Group to renewed success.

Having put a strong and capable management structure in place with Jennings Roofing, in April 2018, Graham focused the whole of his time on his Group role. One of his primary responsibilities was the creation of a succession plan for each of the other operating subsidiaries. We are pleased to report that the succession plan is now in place at each Group Company.

In addition to fulfilling his other duties, Graham also played a key role in the acquisition of Lister Holdings (York) Limited and its wholly owned subsidiary J Lister Electrical Limited, which was announced on 16 January 2020.

Graham departs as the role which he previously agreed with the rest of Board has now been fulfilled. He remains a supporter of Northern Bear. To this end, he has agreed to liaise with the Company should he wish to sell any of his shares in the future.

Graham plans to spend more time on his other unrelated business interests and to spend more time with his family and pursuing his hobbies. We wish him every success and would like to thank him for his hard work, which has played a major part in making Northern Bear what it is today.
