Result of Extraordinary General Meeting ("EGM") and Total Voting Rights
The Directors of NewRiver Retail Limited are pleased to announce that at its EGM held on Tuesday 14 July 2015, all of the proposed resolutions, as set out in the EGM notice despatched to shareholders on 24 June 2015, were passed. Full details of the voting results are available on the Company's website at www.nrr.co.uk.
Accordingly, the Company has applied to the London Stock Exchange for 50,000,000 new ordinary shares of no par value each (the "New Ordinary Shares") to be admitted to trading on AIM ("Admission"). It is expected that Admission will occur at 8.00am on 17 July 2015. The New Ordinary Shares will rank pari passu with the existing ordinary shares in the Company.
The New Ordinary Shares will not be eligible for the first quarterly dividend of 4.5 pence per ordinary share, which is payable on 31 July 2015 to shareholders who were on the Company's register of members at the close of business on 3 July 2015.
Following Admission, NewRiver's share capital will consist of 180,227,456 ordinary shares of no par value each, of which 479,345 are held in treasury. The total number of voting rights in the Company, excluding treasury shares, is therefore 179,748,111.
The above figure (179,748,111) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, NewRiver under the FCA's Disclosure and Transparency Rules.
